AllAI Affiliate Program Terms
1. Company and Program
These AllAI Affiliate Program Terms ("Affiliate Terms") govern participation in the AllAI Affiliate Program (the "Program") operated by BBK AI FOR COMPUTER SYSTEMS & COMMUNICATION EQUIPMENT SOFTWARE DESIGN, trading as BBK AI ("BBK AI", "AllAI", "we", "us" or "our"), located in Dubai, United Arab Emirates.
The Program allows approved individuals and organizations ("Affiliate", "you" or "your") to promote eligible AllAI products or services using approved referral links, promotional materials or other tracking methods and, where applicable, earn commissions on qualifying transactions attributed to them under these Affiliate Terms.
These Affiliate Terms apply together with the AllAI Terms of Service, Privacy Policy, applicable Program settings displayed in the Affiliate Portal, campaign-specific terms and any additional written rules made available for a particular promotion or channel.
2. Acceptance of these Affiliate Terms
By applying to the Program, creating or using an Affiliate account, generating or distributing an Affiliate Link, accessing the Affiliate Portal, requesting a payout or otherwise participating in the Program, you confirm that you have read, understood and agreed to these Affiliate Terms.
If you participate on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
3. Eligibility and approval
Participation is subject to approval by AllAI. Submitting an application does not create a right to participate, earn commissions or represent AllAI.
We may approve, reject, suspend, restrict or terminate an application or Affiliate account at our discretion, including where we reasonably consider participation unsuitable for the Program, our brand, our customers, our partners, applicable law or our commercial interests.
You must provide accurate, current and complete information and promptly update material changes. We may request identity, business, tax, banking, compliance or other verification information before approval or payout.
4. Independent relationship
You participate as an independent Affiliate. Nothing in these Affiliate Terms creates an employment relationship, partnership, joint venture, franchise, fiduciary relationship, distributorship, commercial agency or authority to act on behalf of AllAI.
You have no authority to negotiate, enter into, amend or accept contracts for AllAI; make commitments on our behalf; collect money on our behalf; provide warranties on our behalf; bind AllAI to any obligation; or represent that you have such authority.
You are responsible for your own business activities, expenses, personnel, taxes, licences, permits and compliance obligations.
5. Program settings and commercial terms
The Program may include settings such as commission percentage, commission model, recurring commission duration, attribution window, commission hold period, minimum payout amount, payout frequency, eligible plans or products, approved destinations and other Program rules.
The current settings displayed in the Affiliate Portal or applicable campaign are part of these Affiliate Terms.
6. Our right to change the Program
AllAI may modify the Program and its commercial terms from time to time at its discretion. This includes the right to increase, decrease, replace or discontinue commission rates; change recurring commission periods; change attribution windows; change commission hold periods; change minimum payout amounts or payout schedules; add or remove eligible products, plans, countries, customers, campaigns or transaction types; modify tracking methods; change Affiliate Link destinations; introduce promotional rates; discontinue campaigns; or otherwise modify how the Program operates.
Unless applicable law expressly requires otherwise, such changes may become effective when published in the Affiliate Portal, these Affiliate Terms, the relevant Program settings or another Program interface, and AllAI is not required to provide each Affiliate with individual advance notice.
Affiliates are responsible for reviewing the current Program settings and Affiliate Terms periodically. Continued participation in the Program after a change becomes effective constitutes acceptance of the updated Program.
Unless AllAI expressly states otherwise, the commission terms applicable to a qualifying transaction are the Program terms in effect when that qualifying transaction is recorded by AllAI, and not necessarily the terms that existed when the Affiliate joined the Program, generated a link, published promotional content or first referred the visitor.
Changes will not ordinarily reduce a commission that has already reached a final approved and payable status before the effective date of the change, except where an adjustment is permitted under these Affiliate Terms, including because of a refund, chargeback, cancellation, fraud, abuse, duplicate attribution, payment failure, calculation error or other invalid transaction.
7. Affiliate Links and tracking
AllAI may provide Affiliate Links, referral codes or other tracking mechanisms. You must use the tracking method supplied or approved by AllAI.
Tracking may depend on cookies, referral parameters, account information, transaction records and other technical signals. Attribution is not guaranteed where tracking is prevented, deleted, blocked, overwritten, unavailable or technically unsuccessful.
AllAI's systems and records will be the primary source for determining clicks, registrations, attribution, qualifying transactions, commissions, reversals and payout balances, subject to correction of demonstrable errors.
8. Attribution
A referral may be attributed according to the attribution method and attribution window configured for the Program at the relevant time.
Attribution may be lost or replaced where another valid referral source becomes applicable, the attribution window expires, cookies or tracking data are unavailable, the customer uses another campaign or channel, or another attribution rule applies.
No Affiliate obtains ownership of, exclusivity over or permanent rights in a visitor, lead, customer or account merely because that person previously clicked an Affiliate Link.
9. Qualifying transactions
A commission may arise only from a transaction that AllAI determines to be a valid qualifying transaction under the Program rules.
A qualifying transaction generally requires that:
- the customer is validly attributed to the Affiliate;
- the relevant product or plan is commission-eligible;
- payment is successfully received and retained by AllAI;
- the transaction is genuine and not fraudulent, abusive or artificial;
- the transaction is not excluded under these Affiliate Terms or a campaign rule; and
- all applicable validation and holding requirements have been satisfied.
10. Basis of commission calculation
Unless expressly stated otherwise in the Program settings, commissions are calculated on eligible net amounts actually collected and retained by AllAI.
Taxes, VAT, refunds, credits, discounts, rebates, chargebacks, payment-processing reversals, cancelled amounts and other excluded amounts may be deducted when determining the commissionable value.
A displayed estimated, pending or projected commission is not a guaranteed or vested payment entitlement.
11. Recurring commissions
Where recurring commissions are enabled, eligibility continues only for the duration and conditions specified in the current Program settings.
Recurring commission eligibility does not create a permanent or lifetime right to revenue from a customer.
A recurring commission may cease because the configured duration expires, the customer's subscription ends, payment fails, the account becomes ineligible, the Program changes, attribution becomes invalid or another exclusion applies.
12. Commission status and holding period
AllAI may place commissions in pending, held, approved, payable, reserved, paid, rejected, reversed or other operational statuses.
A commission does not become finally payable merely because a sale or subscription appears in the Affiliate Portal.
We may hold commissions for the configured period to allow for payment settlement, refunds, chargebacks, cancellations, fraud review, compliance checks and other validation.
13. Refunds, chargebacks and reversals
If a transaction is refunded, cancelled, reversed, disputed, charged back, unpaid, fraudulent, duplicated or otherwise determined not to qualify, the related commission may be rejected, cancelled or reversed.
If the commission has already been paid, AllAI may deduct the corresponding amount from future commissions or amounts otherwise payable to the Affiliate and may request repayment where necessary.
14. Excluded transactions
Unless expressly approved by AllAI, commissions may be denied for:
- self-referrals or purchases made primarily to generate commission;
- transactions between accounts controlled by the same person or organization;
- fraudulent, fabricated, automated or manipulated traffic or transactions;
- duplicate or incorrectly attributed referrals;
- test, complimentary, internal, employee or administrative accounts;
- transactions subsequently refunded, cancelled, disputed or charged back;
- transactions involving unauthorized coupons, discounts or promotional methods;
- transactions generated in violation of these Affiliate Terms;
- transactions attributed to an external affiliate network where that network is the applicable commission channel; or
- any transaction AllAI reasonably determines is not a genuine qualifying commercial referral.
15. No duplicate commissions
A transaction may not generate multiple commissions for the same Affiliate through multiple accounts, referral codes, tracking methods, campaigns or external affiliate networks.
Where a transaction is tracked through a third-party affiliate marketplace, network or partner platform, the applicable network or campaign terms may control the commission, and the same transaction may be excluded from the direct AllAI Affiliate Program.
16. Payouts
Payouts are subject to the minimum payout amount, payout frequency, available payout methods and other requirements configured by AllAI.
AllAI may require completion of identity, banking, tax, compliance or fraud checks before processing a payout.
A payout request may be delayed, rejected or cancelled where the Affiliate has not completed required verification, supplied incorrect payment information, breached these Affiliate Terms or where a balance is subject to investigation, adjustment or legal restriction.
The Affiliate is responsible for providing accurate payment information. AllAI is not responsible for loss or delay caused by incorrect information supplied by the Affiliate or by circumstances outside AllAI's reasonable control.
17. Taxes and charges
The Affiliate is responsible for determining and paying any taxes, duties, reporting obligations, banking fees or other charges applicable to commissions received by the Affiliate.
AllAI may deduct or withhold amounts where required by applicable law or competent authority.
18. Marketing standards
Affiliates must promote AllAI professionally, accurately and lawfully.
You must not:
- make false, misleading, deceptive or unsubstantiated claims about AllAI;
- misrepresent pricing, discounts, capabilities, availability or guaranteed results;
- represent yourself as AllAI, BBK AI, an employee of AllAI or an official AllAI representative;
- create websites, accounts, profiles or advertising that could reasonably be mistaken for an official AllAI property;
- send spam, unsolicited bulk messages or unlawful marketing communications;
- use misleading redirects, forced clicks, cookie stuffing, hidden frames or similar attribution manipulation;
- generate artificial clicks, registrations, leads, purchases or engagement;
- promote AllAI through illegal, defamatory, fraudulent, hateful, sexually exploitative or otherwise seriously harmful content;
- use malware, spyware, deceptive browser extensions or unauthorized software to generate referrals; or
- encourage customers to violate AllAI terms or applicable law.
19. Advertising and search marketing
Unless AllAI gives written permission, Affiliates may not bid on, purchase or use AllAI, ALL AI, allai.ae, BBK AI, confusingly similar spellings or other AllAI trademarks as paid-search keywords, advertising account names or domains intended to impersonate or compete with official AllAI properties.
Affiliates may not create advertisements that falsely appear to be official AllAI advertisements.
20. Coupons and promotional claims
You may advertise only coupons, offers, discounts and promotional terms that AllAI has authorized for Affiliate use and that remain valid.
You must not invent discounts, alter coupon conditions, advertise expired offers or describe ordinary Affiliate Links as exclusive discounts where no such discount exists.
21. Disclosure of Affiliate relationship
You are responsible for making any disclosure required by applicable advertising, consumer-protection, influencer or endorsement rules.
Where required, the disclosure should clearly communicate that you may receive compensation if a person purchases through your referral.
22. AllAI trademarks and marketing materials
While your Affiliate account remains approved, AllAI grants you a limited, revocable, non-exclusive, non-transferable licence to use marketing materials and trademarks specifically supplied or approved for the Program solely to promote AllAI in accordance with these Affiliate Terms.
You may not claim ownership of AllAI intellectual property, register confusingly similar trademarks or domains, materially alter protected brand assets in a misleading manner, sublicense them or use them after your participation ends.
All goodwill arising from use of AllAI trademarks belongs to their respective owner.
23. Affiliate-created content
You remain responsible for content you create or publish.
AllAI's approval of an Affiliate account, campaign or marketing asset does not constitute legal approval of every statement made by the Affiliate.
You must promptly remove or correct promotional content if AllAI reasonably requests that you do so because it is inaccurate, outdated, unlawful, misleading, brand-damaging or inconsistent with the Program.
24. Confidential information
You must not disclose or misuse non-public information received through the Program, including confidential commercial information, security information, non-public product plans, private campaign terms, customer information or internal communications.
This obligation continues after participation ends.
25. Personal data
Personal data processed by AllAI in connection with Affiliate accounts is subject to the AllAI Privacy Policy.
Affiliates are independently responsible for complying with privacy, cookie, marketing and data-protection requirements applicable to their own websites, audiences, mailing lists, tracking technologies and promotional activities.
You must not provide AllAI with personal data that you collected unlawfully or without required authority.
26. Compliance with law
You must comply with laws and regulations applicable to your activities, including advertising, consumer protection, privacy, electronic communications, sanctions, anti-money-laundering, anti-bribery and tax requirements where applicable.
You must not offer, promise, request or accept an improper payment, benefit or advantage in connection with the Program.
27. Monitoring, investigation and records
AllAI may monitor Program activity and investigate suspected abuse, fraud, policy violations, anomalous attribution or payment activity.
We may temporarily hold commissions or payouts while an investigation is ongoing.
Where reasonably necessary, we may request supporting information relating to traffic sources, campaigns, advertisements or transactions associated with your Affiliate activity.
28. Suspension
AllAI may immediately suspend an Affiliate account, Affiliate Links, commission accrual or payouts where we reasonably suspect fraud, abuse, security risk, legal risk, misleading promotion, breach of these Affiliate Terms or other conduct that may harm AllAI, its customers, providers or reputation.
Suspension does not mean that pending commissions are automatically approved or payable.
29. Termination
Either party may end participation in the Program.
AllAI may terminate participation immediately where permitted by law, including for breach, fraud, abuse, reputational risk, prolonged inactivity, discontinuation of the Program or other legitimate business reasons.
AllAI may also discontinue the Program, a territory, campaign, commission model, product category or Affiliate channel at any time.
30. Effect of termination
Upon termination, you must stop presenting yourself as an AllAI Affiliate and stop using Program-only brand materials where requested.
Termination does not create a right to commissions that were never validly earned.
Valid commissions already finally approved before termination may remain eligible for payout subject to these Affiliate Terms, verification, minimum payout rules and any permitted adjustments.
AllAI may reject or reverse commissions connected with conduct that occurred before termination but was discovered afterwards.
31. No guaranteed earnings
Participation in the Program does not guarantee traffic, customers, conversions, commissions, income or profit.
Any examples, estimates, statistics or historical results are illustrative only and are not promises of future earnings.
32. Platform availability and tracking limitations
The Program, Affiliate Portal, tracking systems and AllAI services are provided subject to availability.
AllAI does not guarantee uninterrupted operation or perfect attribution. Technical failures, browser restrictions, privacy settings, network conditions, third-party services, deleted cookies, customer actions and other circumstances may prevent tracking.
33. Disclaimer
To the maximum extent permitted by applicable law, the Program is provided on an "as available" basis. AllAI does not provide any guarantee regarding future Program availability, commission levels, customer conversion rates, product availability or uninterrupted tracking.
34. Limitation of liability
To the maximum extent permitted by applicable law, AllAI will not be liable for indirect, incidental, special, consequential, exemplary or punitive losses, or for loss of anticipated profit, business opportunity, goodwill or data arising from participation in the Program.
To the maximum extent permitted by applicable law, AllAI's aggregate liability arising specifically from the Program will not exceed the unpaid valid commissions finally approved for the Affiliate during the three months immediately preceding the event giving rise to the claim.
Nothing in these Affiliate Terms excludes liability that cannot lawfully be excluded or limited.
35. Indemnity
To the extent permitted by applicable law, you agree to indemnify and hold harmless BBK AI, AllAI and their directors, officers, employees and service providers from third-party claims, losses, liabilities and reasonable costs arising from your unlawful promotional activity, your breach of these Affiliate Terms, your infringement of third-party rights or content and representations created by you.
36. Set-off and correction of errors
AllAI may correct calculation, attribution, accounting or payment errors.
Where permitted by law, amounts owed by an Affiliate to AllAI in connection with the Program may be set off against commissions or payouts otherwise due to that Affiliate.
37. Program records
AllAI's platform records, payment records, attribution records and commission ledger will be used to administer the Program and determine Program balances, subject to correction where a demonstrable error is identified.
Affiliate Portal figures may be updated as transactions progress through validation, refund, chargeback and payout states.
38. Electronic communications and Program notices
You agree that Program communications, contractual information, settings and notices may be provided electronically, including through the Affiliate Portal, AllAI websites, your registered email address or another electronic method associated with your account.
You are responsible for maintaining current contact information and reviewing the Affiliate Portal and these Affiliate Terms periodically.
Where these Affiliate Terms permit a Program change to take effect through publication or an updated Program setting, separate individual advance notice is not required unless applicable law expressly requires it.
39. Assignment
You may not sell, transfer, assign or delegate your Affiliate account, referral code, commissions or rights under these Affiliate Terms without AllAI's prior written consent.
AllAI may transfer or assign its rights and obligations in connection with a corporate restructuring, sale, transfer of the Platform or other lawful business transaction.
40. No waiver
A delay or failure by AllAI to enforce a provision does not waive that provision or the right to enforce it later.
41. Severability
If any provision of these Affiliate Terms is found unenforceable, invalid or unlawful, it will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.
42. Entire agreement and priority
These Affiliate Terms, the applicable Program settings and any campaign-specific terms constitute the agreement governing direct participation in the Program.
If campaign-specific written terms expressly conflict with these Affiliate Terms, the campaign-specific terms control for that campaign only.
Where an Affiliate participates through an external affiliate network or marketplace, the applicable network agreement may govern payments and attribution processed through that network.
43. Governing law and jurisdiction
These Affiliate Terms and disputes arising from the Program are governed by the laws applicable in the United Arab Emirates and the Emirate of Dubai, without prejudice to mandatory rules that cannot lawfully be excluded.
Subject to any mandatory jurisdiction requirement, the courts of Dubai, United Arab Emirates shall have jurisdiction over disputes arising from these Affiliate Terms or participation in the Program.
44. Changes to these Affiliate Terms
AllAI may amend these Affiliate Terms from time to time for legal, regulatory, security, operational, technical or commercial reasons or to reflect changes to the Program.
The updated version becomes effective on the date stated in the updated Affiliate Terms or when otherwise made effective through the Program. Unless applicable law requires otherwise, AllAI is not required to obtain separate consent from, or provide individual advance notice to, every Affiliate before making a change effective.
If you do not agree with an updated version, your remedy is to stop participating in the Program before continuing to use it after the updated terms become effective.
45. Survival
Provisions that by their nature should continue after termination will survive, including provisions concerning payment adjustments, fraud, intellectual property, confidentiality, taxes, liability, indemnity, governing law and disputes.
